Welcome to Zenapex Transport Nigeria Ltd ("Zenapex", "we", "us", or "our"). These Terms & Conditions govern your access to and use of zenapextransport.com, our transport services, hire-purchase services, and related services.

Important: The information displayed on this website is provided for general information and enquiry purposes. Hire-purchase amounts, payout figures, asset details, availability, payment schedules and other commercial terms may change. The specific written agreement issued and accepted by Zenapex and the customer will govern the relevant transaction.

1. Acceptance of These Terms

By accessing this website, submitting an enquiry, requesting a ride, applying for a hire-purchase arrangement, creating an account where available, or otherwise using our services, you agree to these Terms & Conditions and our Privacy Policy.

If you do not agree with these Terms, please do not use the website or our services.

Where a separate written agreement applies to a particular service or transaction, that agreement will contain the specific commercial terms applicable to that transaction. If there is a conflict, the specific written agreement will prevail to the extent of the conflict.

2. About Zenapex Services

Zenapex operates in the transport and transport-asset management space. Our website currently presents two principal categories of services:

  • Transport and ride services: including intra-city transportation, inter-state transportation and airport transfers, subject to availability and booking confirmation.
  • Transport asset hire-purchase arrangements: arrangements involving transport assets such as tricycles, motorcycles, SUVs, buses and heavy-duty trucks, which may be professionally managed and operated by Zenapex or its appointed operators.

Service availability, asset availability, pricing and commercial terms are subject to change without notice before a transaction is confirmed.

3. Eligibility and Customer Information

You must be at least 18 years old and legally capable of entering into a binding agreement to enter into a hire-purchase arrangement or other contractual service with Zenapex.

You agree to provide accurate, complete and current information when dealing with us. We may request identification, address, banking, business, tax or other information where reasonably necessary for verification, service delivery, risk management, legal compliance or the performance of a transaction.

You must not provide false, misleading, forged or fraudulent information or use another person's identity or financial details without lawful authority.

4. Website Information and Hire-Purchase Plans

4.1 Website Figures

The website may display hire-purchase amounts, asset prices, return figures, payout frequencies, durations and other plan information. These figures are intended to explain the available commercial options and may be updated from time to time.

A website display, enquiry, application or expression of interest does not by itself create a binding hire-purchase contract or guarantee that an asset or plan will remain available.

4.2 Final Agreement

Before committing funds, customers should review the applicable written hire-purchase agreement and any schedules or disclosures provided by Zenapex. The final agreement should specify, where applicable, the asset, purchase/hire-purchase price, payment obligations, duration, payout arrangements, management responsibilities, insurance, maintenance, default provisions, termination provisions and ownership/title arrangements.

4.3 Returns and Payouts

Where the website presents a "Return on Hire Purchase", "Total Return", ROI or payout amount, the figure should be read together with the applicable written agreement. Website figures are not, by themselves, a promise that a customer will receive a particular amount regardless of the contractual terms or circumstances affecting the transaction.

Unless expressly stated as an unconditional contractual obligation in the applicable written agreement, projected, indicative or illustrative figures may be affected by operational, commercial, regulatory, insurance, maintenance, asset-utilisation or other circumstances.

4.4 Customer Due Diligence

Zenapex may conduct customer verification and other due-diligence checks before accepting a hire-purchase arrangement. We may decline or delay an application where information cannot be satisfactorily verified or where proceeding would create legal, regulatory, operational or fraud-related concerns.

5. Payments

Customers must make payments in accordance with the applicable payment instructions and written agreement. You are responsible for ensuring that payments are made using authorised channels and that the information supplied to Zenapex is accurate.

Zenapex is not responsible for a delay caused by incorrect account details, a failed payment provider, a bank or other third-party payment issue, except to the extent required by applicable law.

Any applicable fees, taxes, charges, late-payment consequences or other financial obligations will be stated in the relevant agreement or communicated before they become applicable.

6. Asset Management, Maintenance and Insurance

Where Zenapex manages an asset, the scope of management will depend on the relevant agreement. This may include operational management, driver/operator coordination, maintenance, monitoring, insurance administration and other transport-management activities.

Insurance coverage is subject to the relevant policy, exclusions, limits, conditions and claims procedures. Insurance does not necessarily cover every loss, delay, accident, misuse, depreciation or operational event.

Maintenance, repairs, wear and tear, downtime, replacement parts and extraordinary expenses will be handled in accordance with the applicable written agreement.

7. Transport and Ride Services

For ride, airport-transfer and other transport bookings:

  • A booking request is not necessarily a confirmed booking until Zenapex or its authorised representative confirms it.
  • Pickup times and estimated journey times may be affected by traffic, weather, road conditions, security situations, vehicle availability and other circumstances outside our reasonable control.
  • Passengers must provide accurate pickup, destination and contact information.
  • Passengers must comply with reasonable safety instructions and applicable transport laws.
  • We may refuse service where a passenger poses a safety, security or legal risk or engages in abusive, threatening or unlawful conduct.
  • Applicable fares, cancellation charges or other booking terms will be communicated through the relevant booking process.

8. Prohibited Use

You must not use the website or our services to:

  • commit or facilitate fraud, money laundering or any other unlawful activity;
  • impersonate another person or provide false information;
  • interfere with, damage or attempt to gain unauthorised access to the website or our systems;
  • upload malicious code or content;
  • misuse our vehicles, assets, branding, documents or intellectual property;
  • harass, threaten or abuse our staff, drivers, customers or partners; or
  • use our services in a manner that violates applicable Nigerian law.

9. Intellectual Property

Unless otherwise stated, the Zenapex name, logo, website design, text, graphics, photographs, videos, software and other website content belong to or are used lawfully by Zenapex and are protected by applicable intellectual-property laws.

You may access and use the website for lawful personal or business purposes. You may not reproduce, modify, distribute, sell, republish or commercially exploit our protected content without our prior written permission, except where permitted by law.

10. Third-Party Services and Links

Our services may depend on third parties, including payment providers, insurers, vehicle suppliers, technology providers, communication providers, drivers, operators and other service partners. Where a third party is responsible for a service, its own terms may also apply.

The website may contain links or integrations to third-party websites or services. Zenapex is not responsible for the content, availability or privacy practices of third-party websites that we do not control.

11. Service Availability and Force Majeure

We will make reasonable efforts to keep our website and services available, but we do not guarantee uninterrupted availability.

We will not be responsible for a failure or delay caused by circumstances beyond our reasonable control, including severe weather, flooding, fire, accident, road closures, security incidents, strikes, government action, regulatory changes, network or power failure, payment-system failure, epidemic or other force-majeure events.

12. Liability

To the maximum extent permitted by applicable law, Zenapex will not be liable for indirect or consequential loss arising solely from your use of the website or from circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, or any other liability that applicable law requires us to accept.

Any limitation of liability applicable to a particular hire-purchase or transport transaction will be subject to the terms of the applicable written agreement and mandatory provisions of Nigerian law.

13. Suspension and Termination

We may suspend access to the website or refuse or terminate a service where reasonably necessary because of suspected fraud, unlawful activity, security concerns, non-payment, material breach of these Terms, inaccurate information or other circumstances permitted by the applicable agreement or law.

Termination of website access does not automatically cancel or discharge obligations contained in an existing written agreement.

14. Complaints and Customer Support

If you have a complaint concerning a ride, payment, hire-purchase arrangement, asset management service or any other Zenapex service, please contact us promptly using the contact details below. We will review the complaint and, where appropriate, request supporting information to investigate it.

Where a written agreement contains a specific complaints or escalation procedure, that procedure will also apply.

15. Privacy and Personal Data

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you acknowledge that personal information may be processed as reasonably necessary to provide services, perform contracts, communicate with you, prevent fraud, comply with legal obligations and perform other lawful business purposes.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, operations, technology or legal requirements. The updated version will be published on this page with a new "Last Updated" date.

Changes will not automatically alter the commercial terms of an existing written agreement unless that agreement or applicable law permits the change.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, the parties should first attempt to resolve it in good faith through direct discussion and, where appropriate, mediation. If the dispute cannot be resolved amicably, either party may pursue the remedies available under applicable Nigerian law and before a court or other forum with lawful jurisdiction.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue to apply.

19. Entire Agreement

These Terms, the Privacy Policy, and any specific written agreement applicable to a service or hire-purchase transaction constitute the relevant agreement between you and Zenapex concerning the subject matter covered by those documents.
